Terms of Service
These Terms of Service (âTermsâ) govern the use of the Tagnect service provided by Tagnect LLC, a Wyoming limited liability company (âTagnectâ, âweâ, âusâ). By creating an account, starting a trial, paying for a subscription or using the Tagnect apps or console, you agree to these Terms. If you accept on behalf of a company, you confirm that you have authority to bind it.
1. Definitions
- Service: the Tagnect cloud platform, the web console, the Tagnect (guest) and Tagnect Manager apps, the Tagnect controller and connector software, and related documentation.
- Customer: the business that subscribes to the Service for one or more venues. Tenant: the Customer's isolated account space in the Service.
- Venue: a single physical location where the Customer offers WiâFi to its guests â one premises at one street address, including buildings on the same contiguous property operated as one business. The number of routers, access points or controllers does not change the Venue, and locations at different street addresses are different Venues, even if they share a network name (SSID), controller, brand, legal entity or account. Guest: a person who uses the Tagnect app to get WiâFi access at a Venue.
- NTag: an NFC tag programmed for the Service. Active NTag: an NTag enabled in the Tenant at a given moment. OTP: a oneâtime passcode for devices without NFC.
- Network Equipment: the Customer's routers, controllers, access points and internet service. Partner: an MSP, reseller or referral partner under a separate partner agreement.
2. Accounts, tenants and managers
- Each Customer has its own Tenant. The account owner (master manager) may invite secondary managers and Partners with scoped permissions and is responsible for all activity under the Tenant.
- Keep credentials confidential, use multiâfactor authentication where offered and notify us promptly of any unauthorized use.
- Account information must be accurate and kept up to date. Accounts may not be created by automated means.
3. Plans, venues, active NTag limits and trial
- One Venue per Tenant. Each Tenant and its subscription cover a single Venue. The Tenant's NTags may be installed and used only at that Venue, through any number of routers, access points or controllers located there. Each additional Venue requires its own Tenant and subscription, even if operated by the same Customer or Partner. Sharing the same network name (SSID), controller or Network Equipment account across locations does not make them a single Venue. If NTags are used at more than one Venue, we may, after notice, suspend the NTags used outside the Venue or bill the subscriptions that would apply.
- Plans are sized by the maximum number of Active NTags per Tenant, as shown on the Pricing page. OTPs do not count toward the limit. Retired NTags stop counting and may be reactivated within the plan limit.
- The free trial lasts 30 days and covers up to 3 Active NTags. At the end of the trial, the Service continues only if a paid plan is selected.
- You may upgrade or downgrade at any time. Upgrades take effect when paid; downgrades take effect at the next billing period, and features or tags above the new limit may become unavailable.
4. Fees, billing and taxes
- Subscriptions are billed monthly per Tenant, in advance, in US dollars, by card (processed by Stripe) or in bitcoin (processed by our BTCPay Server). Each payment covers one monthly period.
- Prices exclude taxes, which are the Customer's responsibility unless collected by us or our payment processor where required by law.
- If a payment fails, the Tenant enters a short grace period; after it, the Service may be suspended until payment is made. Suspension does not delete Tenant configuration during the retention period in Section 13.
- We may change prices with at least 30 days' notice; changes apply from the next billing period after the notice.
5. Launch terms (Early Black Friday) and renewal
- Monthly plan: billed at the launch price published on the Pricing page, with no minimum commitment; it can be canceled at any time, effective at the end of the month already paid.
- Annual plan purchased from launch through November 30, 2026, Cyber Monday (Early Black Friday launch): 12 months paid upfront for the price of 10 monthly payments of the monthly plan; launch price locked for 24 months from purchase, including the secondâyear renewal; and one remote assistedâsetup session at no cost.
- Canceling the annual plan prevents the next renewal; the period already paid remains active until it ends and is not refunded pro rata.
- Promotional codes are subject to the conditions stated when they are issued and cannot be exchanged for cash.
6. Cancellation and refunds
- You may cancel at any time in the console or by writing to support@tagnect.com. Cancellation takes effect at the end of the period already paid; there are no cancellation fees.
- Amounts already paid are not refunded, except where required by law or expressly stated by Tagnect.
7. Network equipment and compatibility
- The Service works with the Network Equipment listed as available on our website. The Customer is responsible for providing compatible Network Equipment, supported firmware, internet service, power and the administrative access the Service needs (for example, controller API credentials or the installation of the Tagnect connector).
- Session duration, time windows, grace periods, groups and OTPs are provided by the Service in every deployment. Bandwidth, quota, VLAN, client isolation and device limits depend on the specifications of the Network Equipment.
- Installing the Tagnect controller on an OpenWrt router, or reflashing a router with OpenWrt, may void the manufacturer's warranty and is done at the Customer's risk, unless performed by Tagnect or a Partner under a separate agreement.
- Tagnect is not an internet service provider and is not responsible for the availability, speed or security of the Customer's internet connection or Network Equipment.
8. Venue responsibilities
- Use the Service lawfully and only for networks the Customer is authorized to manage.
- Inform guests that WiâFi access is provided through Tagnect and make the Privacy Policy available, for example on tag signage or table cards.
- As controller of guest access data, comply with applicable privacy laws and respond to guests' requests, with our assistance as processor.
- Provide firstâline support to guests at the Venue, directly or through a Partner.
9. Guests
The Tagnect app is free for guests and requires no account. Access is granted under the policies set by each Venue, which may end or limit access at any time. Guests must use the network lawfully and in accordance with the Venue's rules.
10. Partners
Partners operate under a separate partner agreement that sets tiers, commissions and responsibilities. A Partner accesses a Customer's Tenant only when invited as a manager by that Customer, and only with the permissions granted.
11. Acceptable use
You may not: (a) use the Service to break the law or to infringe the rights of others; (b) attempt to gain unauthorized access to the Service, other Tenants or networks; (c) interfere with or overload the Service; (d) reverse engineer the Service except where the law allows it; (e) resell the Service outside a partner agreement; or (f) use the Service to monitor individuals beyond what is necessary to manage WiâFi access.
12. Data protection
- The Privacy Policy describes the data we process, its retention and the roles of the Venue and of Tagnect. A data processing agreement is available on request.
- The Customer owns its Tenant configuration and data. We use aggregate, nonâpersonal metrics (such as the number of connection requests at a given moment) to operate and scale the Service.
13. Security, availability and support
- We use commercially reasonable measures to protect and operate the Service. The Service does not carry guest traffic and does not replace firewalls, endpoint protection or secure transport.
- We aim for high availability but do not guarantee uninterrupted operation unless a service level is agreed in writing. Planned maintenance will be announced when practical.
- Support is provided by email at support@tagnect.com; higher plans may include priority support.
- After cancellation or termination, Tenant data is kept for 30 days for export and then deleted, except where the law requires longer retention.
14. Intellectual property
Tagnect and its licensors own the Service, including software, trademarks and the patentâpending technology. We grant the Customer a limited, nonâexclusive, nonâtransferable right to use the Service during the subscription. Feedback you send may be used to improve the Service without obligation.
15. Hardware
NFC tags, routers and other hardware are sold or supplied separately, by Tagnect, Partners or third parties, under their own terms and manufacturer warranties.
16. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided âas isâ and âas availableâ, without warranties of any kind, including merchantability, fitness for a particular purpose and nonâinfringement, to the extent permitted by law.
17. Limitation of liability
To the extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; and (b) each party's total liability under these Terms is limited to the amounts paid or payable by the Customer to Tagnect in the 12 months before the event giving rise to the claim. These limits do not apply to payment obligations, to a party's indemnification obligations, or to liability that cannot be limited by law, such as for gross negligence or willful misconduct.
18. Indemnification
The Customer will defend and indemnify Tagnect against thirdâparty claims arising from the Customer's unlawful use of the Service or breach of Section 11. Tagnect will defend and indemnify the Customer against thirdâparty claims that the Service, as provided by Tagnect, infringes intellectual property rights, and may modify or replace the affected feature.
19. Suspension and termination
We may suspend access to protect the Service or other users, for nonâpayment or for a breach of Section 11. Either party may terminate for a material breach not cured within 30 days of notice. Sections that by their nature should survive termination (including payment, intellectual property, liability and governing law) will survive.
20. Changes to these Terms
We may update these Terms. Material changes will be notified at least 30 days in advance by email or in the console; continued use after that date means acceptance of the updated Terms.
21. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflictâofâlaws rules. The parties will first try to resolve any dispute informally. [Forum, arbitration and juryâwaiver clauses to be defined by counsel.] Consumers keep the mandatory protections of the law of their country of residence.
22. General
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Assignment: the Customer may not assign these Terms without our consent, except in a merger or sale of its business.
- Notices: to Tagnect at contact@tagnect.com; to the Customer at the account email.
- Language: translations are provided for convenience; the English version prevails in case of conflict.
- Entire agreement: these Terms, the order or plan selected, the Privacy Policy and, for Partners, the partner agreement are the entire agreement on this subject.
